Public Offer (Terms of Use and Provision of Services of the PraeDeals Platform)

1. General Information

These Terms of Use and Provision of Services (the “Terms”) govern access to and use of the PraeDeals platform, including all related websites, applications, and services (collectively, the “Platform”).

As the PraeDeals operator is established outside the European Union, it has appointed an EU representative in accordance with Article 27 of the General Data Protection Regulation (GDPR).

The EU representative acts solely as a contact point for supervisory authorities and data subjects and does not participate in the provision of services, operation of the Platform, or processing of personal data.

PraeDeals provides a digital SaaS platform enabling professional interaction, project collaboration, discovery of specialists and service providers, publication of professional information, and communication between Platform users.

The Platform includes tools supporting recruitment processes, project planning and coordination, professional networking, and management of interactions between participants, and does not act as an employer, recruitment agency, or marketplace operator.

2. Definitions

• Person (Worker) — an individual publishing a professional profile or résumé, acting as a worker or contractor and participating in interactions on the Platform.
• Company — a user acting within the scope of professional or commercial activity.
• Buyer — a user purchasing access to interactions or leads without a subscription.
• Subscription — recurring paid access to selected Platform tools.
• PraeDeals — structured professional interactions between Platform participants taking place prior to concluding any external contract; the Platform is not a party to any contract between users.
• Deal / Contract — an agreement concluded directly between users (Person, Company, Buyer) outside the Platform and governed by the applicable law of the parties’ jurisdiction.
• PraeLeads — tools providing access to leads and interaction opportunities.
• PraeClubs — professional communities and collaboration spaces.
• 🔑 PraeKey — a one-time digital access key for a specific interaction or operation.
• 🌍 TranslateKey — a one-time digital key for résumé translation within an active PraeDeal.
• AI Manager — an additional paid SaaS tool for Company users that uses artificial intelligence technologies to interact with AI Manager Users, collect information they provide, assist with profile completion, and structure user profile data. AI Manager does not make legally significant or other final decisions on behalf of Company users regarding Platform users.
• AI Manager User — an individual interacting with AI Manager functionality through the Platform, including through public Platform pages before creating a PraeDeals account.

3. User Roles and Basic Tools

3.1. Person

Basic tools:

• profile;
• résumé and portfolio;
• work contacts;
• messenger;
• news feed.

Access to PraeDeals is provided free of charge.

3.2. Company

Basic tools:

• company profile;
• projects and services;
• information publishing and self-promotion;
• news feed.

Company users with an active subscription may access the additional paid module AI Manager, intended to automate initial interaction with users, collect information they provide, and form structured user profiles. AI Manager is not included in the standard Company subscription and is billed separately in accordance with the Pricing page and/or checkout.

3.3. Buyer

Basic tools:

• profile;
• news feed.

4. Access Model (CANON)

Below is the structured access model to Platform tools by user role and usage conditions.

5. Subscription

• Subscription is optional but mandatory for Company access to PraeDeals, PraeLeads, and PraeClubs.
• Person subscription provides access to PraeClubs and TranslateKey.
• Buyer does not use subscriptions.

5.1. AI Manager (Company Add-on)

AI Manager is an additional paid extension of the Company subscription and may be used only while the Company subscription is active.

The fee for AI Manager is a separate recurring fee and is not included in the base Company subscription price. Where supported by the payment model, the base Company subscription and AI Manager may be shown as separate items within the same subscription and billing period.

AI Manager interacts with users through the Platform and is directly identified as an artificial intelligence system.

AI Manager may conduct a dialogue with a user, ask clarifying questions, analyze answers provided by the user, map information to Platform reference data, structure the provided information, and assist with completing the user profile.

AI Manager does not independently make legally significant or other final decisions regarding a user. Final decisions concerning further interaction between Platform users are made independently by the relevant users.

Results of automated processing may contain inaccuracies or require clarification. An AI Manager User is given the opportunity to review, supplement, or correct structured profile information before confirmation and further use through the Platform.

Company users must independently assess information provided by users and should not treat automatically structured AI Manager results as the sole basis for decisions that may have legal or similarly significant effects on a user.

6. PraeKey

• PraeKey is a one-time digital key.
• Provides access only to a specific interaction.
• Is not electronic money.
• Is non-refundable once used (see the Refund Policy for unused purchases).

7. TranslateKey

• Available only to subscribed Persons.
• Used for a single résumé translation within an active PraeDeal, including:
  • the user’s own résumé;
  • another PraeDeal participant’s résumé where lawful access exists.
• Does not extend access to data, contacts, or deals.
• Translation is performed solely to facilitate communication.

8. Advertising Services and Technical Intermediation

PraeDeals provides technical intermediation services for the placement and display of advertising content.

• advertising services are not part of the SaaS functionality;
• are paid separately;
• do not include agency or marketplace functions.

PraeDeals bears no responsibility for advertising content, except as required by mandatory applicable law.

8.1. Nature of Advertising Services

Fees charged by PraeDeals relate solely to technical intermediation for advertising placement, including provision of technical infrastructure for displaying advertising content, and do not constitute payment for advertised products or services.

8.2. No Agency or Marketplace Role

PraeDeals does not act as an advertising agency, broker, or representative of advertisers and does not participate in transactions, negotiations, or performance of obligations related to advertised products or services.

Advertisers are solely responsible for the content, accuracy, and legality of advertising materials within the limits of mandatory law.

8.3. Advertising payments

Payments for advertising services (prepaid advertising budget) are processed in UAH via bank acquiring and/or an authorized payment service provider. For such payments, PraeDeals (Operator, Ukraine) acts as the merchant (Paddle is not the Merchant of Record for advertising payments).

Information about the payment provider, the payable amount in UAH, and applicable terms is displayed in the invoice/checkout before payment confirmation. Advertising payments are separate from SaaS subscriptions and digital products sold via Paddle.

9. Payments, VAT, and Invoicing

• Prices are displayed with or without VAT depending on applicable law.
• For EU B2C digital services, VAT OSS rules apply based on the consumer’s residence.
• For EU B2B services, the reverse-charge mechanism may apply with a valid VAT ID.
• SaaS subscriptions and digital products: payments are processed via Paddle, which acts as the Merchant of Record and issues receipts/invoices to the buyer.
• Advertising services (prepaid advertising budget): payments are made in UAH and processed via bank acquiring and/or an authorized payment service provider; for such payments, PraeDeals (Operator, Ukraine) acts as the merchant, and Paddle is not involved in the transaction.
• Refunds: Paddle purchases are governed by the Refund Policy and are handled via Paddle. Advertising payments follow these Terms, checkout disclosures, and applicable law.
• The digital service is deemed provided at the moment access or functionality is granted.
• AI Manager: the recurring fee for AI Manager is a fee for an additional Company SaaS module and may be processed through Paddle as Merchant of Record together with the base Company subscription as a separate subscription item.

10. Right of Withdrawal (EU Consumers)

EU consumers have the right to withdraw from the contract within 14 days.

The right of withdrawal does not apply if:

• the digital service has been fully performed;
• the user gave explicit consent to immediate performance and acknowledged the loss of the withdrawal right.

Such consent is requested during the checkout process.

11. Prohibited Use

The following is prohibited:

• abuse of Platform tools;
• data scraping;
• circumvention of access restrictions;
• use of translated materials outside PraeDeals;
• violation of applicable law or third-party rights.

12. Liability

• The Platform is provided “as is”.
• PraeDeals does not guarantee commercial or employment outcomes.
• Liability is limited to the maximum extent permitted by law.
• These Terms do not limit mandatory EU consumer rights.

13. Termination of Use

Users may discontinue use of the Platform at any time. PraeDeals may suspend or terminate access in case of Terms violation.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Ukraine. For users located in the EEA/EU, mandatory provisions of the law of their country of residence apply to the extent they are applicable. If certain payments/purchases are processed by a third-party payment provider as Merchant of Record, the terms of that provider additionally apply as displayed during checkout.

15. Changes to the Terms

PraeDeals may amend these Terms. Material changes will be communicated to users in advance.
